Shareholders in a Mauritius GBL company (“the Company”) may incorporate an arbitration clause in the constitution of the Company, as provided in section 3D of the Act, by a unanimous resolution of shareholders in the following form— The shareholders of the Company hereby agree that the constitution of the Company shall be amended by the inclusion of the arbitration clause set out in the Second Schedule to the International Arbitration Act (referred to as the Act).
