2. Meetings of Board
(1) In the absence of the President at a meeting of the Board, a member of
the Board elected by the members present shall preside.
(2) Where a member of the Board has an interest in a matter being considered or about to be considered by the Board, he shall—
(a) as soon as practicable after the relevant facts have come to his
knowledge, declare the nature of the interest; and

(b) not be present during any deliberation with respect to that matter and
not be entitled to vote on that matter.
(3) A quorum is constituted by 6 members of the Board and no business
may be transacted at a meeting of the Board unless there is a quorum.
(4) Each member present at a meeting of the Board shall be entitled to one
vote on a matter arising for decision at the meeting, and the person presiding at
the meeting shall, in the event of an equality of votes, have a casting vote.
(5) The Board shall meet at least once a month.
(6) Subject to section 25 of this Act, a decision carried by a majority of the
votes cast by the members present and voting at a meeting shall be a decision of
the Board.
(7) The Board may otherwise regulate its proceedings as it thinks fit.
