5. The Board
(1) The Foundation shall be managed by a Board which shall consist of—
(a) a Chairperson who shall be appointed by the Prime Minister;
(b) 2 members who shall be appointed by the Prime Minister;

(c) a representative of the Ministry responsible for the subject of
education;
(d) 3 members to be appointed by the Prime Minister after consultation with the Uteem family.
(2) The Board may co-opt 2 members who shall be chosen from persons
capable of helping in the advancement of the objects of the Foundation.
(3) The members of the Board shall hold office for a period of one year
and shall be eligible for reappointment.
(4) The members of the Board shall appoint from among themselves a
Secretary and a Treasurer.
(5) No member of the Board shall receive any fee or remuneration for his
services.
(6) The Board shall—
(a) hold its meetings at such time and place as the Chairperson
thinks fit; and
(b) be convened by the Secretary as often as may be requested by
the Chairperson, or upon a request addressed to the Chairperson
by any 3 members of the Board.
(7) Three members shall constitute a quorum.
