181. Method of contracting
(1) A contract made on behalf of a company—
(a) which, where made between private persons, would be required
to be in writing, may be made on behalf of the company in
writing—
(i) signed by the company; or
(ii) by any person acting under its authority express or implied,
and may in the same manner be varied or discharged;
(b) which, where made between private persons, would be valid if
made orally, may be made orally on behalf of the company by
any person acting under its authority, and may in the same manner be varied or discharged.
(2) Nothing in subsection (1) shall limit or prevent a company from entering into a contract or other enforceable obligation in writing.
(3) Subsection (1) shall apply to a contract or other obligation—
(a) whether or not that contract or obligation was entered into in
Mauritius; and
(b) whether or not the law governing the contract or obligation is
the law of Mauritius.
