267. Conversion of limited and unlimited companies
(1) An unlimited company may convert to a limited company by passing
a special resolution to that effect and by making any necessary amendments
to its constitution and filing with the Registrar a copy of the resolution.
(2) A limited company may convert to an unlimited company by passing
a unanimous resolution to that effect and filing with the Registrar a copy of
the resolution.
(3) Where a company has complied with subsection (1) or (2), the Registrar shall, subject to the other provisions of this Act, issue to the company a
new certificate confirming the conversion and cancel the previous certificate
of incorporation.
(4) The conversion of a company under this section shall—
(a) take effect on the issue of the certificate; and
(b) not affect the identity of the company or any right or obligation
of the company or render defective any proceedings by or
against the company.
