12. Constitution of limited liability partnership
(1) A limited liability partnership shall consist of 2 or more persons
associated for carrying on a lawful business.
(2) Any individual, body corporate or unincorporated body formed or
registered with or without liability in Mauritius or elsewhere, including any
société, partnership or any other body of persons, may be a partner of a
limited liability partnership.

(3) The contribution of a partner may be satisfied by the provision of
money, loan, any other property or services, and where non-cash
contribution is provided, the value of the contribution shall be agreed upon
and specified in the partnership agreement.
