14. Power of partner to bind limited liability partnership
(1) Every partner of a limited liability partnership shall be an agent of the
limited liability partnership.
(2) Notwithstanding subsection (1), a limited liability partnership shall not
be bound by anything done by a partner in dealing with any other person
where—
(a) the partner did not have any authority to act for the limited
liability partnership for that purpose; and
(b) the other person knew or ought to have known that the partner
had no authority.
