44. Changes in particulars (1) Unless otherwise provided in this Act, whenever a change is made or occurs in any of the particulars registered in respect of a limited liability partnership, the limited liability partnership shall, within 21 days from the change, or such further period as the Registrar may determine, following an application made to him, file with the Registrar a statement specifying the nature and date of the change and containing such other information as may be prescribed. (2) The Registrar may, in any particular case, require a statement filed under subsection (1) to be rectified in such manner as he may consider appropriate. (3) A limited liability partnership shall file a statement with the Registrar informing him of any change in its partners or manager. (4) Where a person has ceased to be a partner and the Registrar has not been informed in accordance with subsection (3), that person shall be regarded as still being a partner in relation to any bona fide third party. (5) Any person who ceases to be a partner or manager of a limited liability partnership may file with the Registrar the statement referred to in subsection (3) where he has reasonable cause to believe that the limited liability partnership will not file the statement with the Registrar.
