68. Restriction on transfer
(1) A limited partnership shall not be removed from the Register where—
(a) the limited partnership is in the process of winding up or liquidation;

(b) a receiver or manager has been appointed, whether by the Court
or otherwise, in relation to the property of the limited partnership; or
(c) there is a scheme or order in force in relation to the limited partnership whereby the rights of the creditors are suspended or
restricted.
(2) A limited partnership shall not be removed from the Register unless,
immediately before its removal, the limited partnership is solvent.
