8. Meetings of Board
(1) The Board shall meet as often as may be necessary but at least once
every month at such time and place as the Chairperson may determine.
(2) At any meeting of the Board, 7 members shall constitute a quorum.
(3) The Managing Director shall convene a meeting of the Board on a request made to that effect by not less than 4 members.
(4) The Managing Director shall, unless otherwise directed by the Board,
attend every meeting of the Board and may take part in its deliberations, but
shall not have the right to vote.

(5) The Board shall designate an officer to act as Secretary to the Board
and the Secretary shall—
(a) prepare and attend every meeting of the Board;
(b) keep minutes of proceedings of any meeting of the Board; and
(c) have such other duties as may be conferred upon it by the
Board.
(6) The Secretary shall give notice of every meeting of the Board to the
members.
(7) In the absence of the Chairperson at a meeting of the Board, the
members present shall elect a member from amongst themselves to chair
that meeting.
(8) Subject to this section, the Board shall regulate its meetings and proceedings in such manner as it thinks fit.
