34. Disclosure of interest (1) A member of a Council shall, on becoming aware that he has an interest in a transaction or proposed transaction with the Foundation, forthwith disclose the nature and extent of his interest at a meeting of the Council as well as, where the monetary value of the member’s interest car be quantified, the monetary value of that interest. (2) A member of a Council shall not be required to comply with subsection (1) where— (a) the transaction or proposed transaction is between him and the Foundation; and (b) the transaction or proposed transaction is, or is to be, entered into in the ordinary course of the Foundation’s business and on usual terms and conditions. (3) A failure by a member to comply with subsection (1) shall not affect the validity of a transaction entered into by the Foundation or the member. (4) This section shall apply to a protector or a committee of protectors as it applies to a member of the Council.
