354. Factors to be disregarded
In determining the law to be applied in accordance with this Sub-part, no
account shall be taken of—
(a) the place where the issuer of the securities is incorporated or
otherwise organised or has its statutory seat or registered office,
central administration or place or principal place of business;
(b) the places where certificates representing or evidencing
securities are located;
(c) the place where a register of holders of securities maintained by
or on behalf of the issuer of the securities is located; or
(d) the place where any intermediary other than the relevant
intermediary is located.
