Section 30: Effect of registration of foreign limited liability partnership

30. Effect of registration of foreign limited liability partnership (1) The registration of a foreign limited liability partnership under this Act shall not— (a) create a new legal entity; (b) prejudice or affect the identity of the partnership constituted by the foreign limited liability partnership or its continuity as a legal entity; (c) affect the property, rights or obligations of the foreign limited liability partnership; or (d) affect proceedings by, or against, the foreign limited liability partnership. (2) A foreign limited liability partnership shall have a registered office in Mauritius to which all communications and notices may be addressed and which shall be open and accessible to the Registrar. (3) Unless otherwise specified in this Act, a foreign limited liability partnership shall comply with the requirements applicable to a limited liability partnership under this Act. (4) Notwithstanding paragraph (3), the Registrar may exempt a foreign limited liability partnership from complying with any requirement of this Act where he is satisfied that the foreign limited liability partnership has complied with similar requirements in the jurisdiction where it was constituted.
