146. Distribution of property(cid:3)
Subject to sections 336 and 337 and the Fourth Schedule, the property
of a company shall, on its winding up—
(a) be applied pari passu in satisfaction of its liabilities; and(cid:3)
(b) unless the constitution otherwise provides, be distributed among
the shareholders according to their rights and interests in the
company.(cid:3)
