392. Dealing with company property
(1) A company officer who—
(a) purports, on the company’s behalf, to enter into a transaction or
dealing that is void under section 226 (1); or

(b) is in any other way knowingly concerned in, or party to, the void
transaction or dealing, whether—
(i) by act or omission; or
(ii) directly or indirectly,
shall commit an offence.
(2) The Court may order a company officer who is convicted of an offence under subsection (1) to compensate any person, including the company, who has suffered loss as a result of the act or omission constituting
the offence.
